Welcome to Prorion, an early-stage platform currently operated by its founding team. By accessing or using our platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.

2. Description of Service

Prorion is a collaborative project matching and team building platform that connects people with aligned goals to work on projects together. Our service includes:

• AI-powered matching to find collaborators with aligned skills and vision
• Profile creation showcasing your skills, experience, and collaboration preferences
• Project creation and team management tools
• Real-time chat and communication features
• Task assignment and project management capabilities
• Collaborative text editing and project pages

3. Beta Service Disclaimer

Prorion is currently in early access/beta testing. The service is provided "as-is" and "as available" without warranties of any kind. You acknowledge and agree that:

• The platform may contain bugs, errors, or service interruptions
• Features may change, be added, or removed without notice
• We do not guarantee continuous, uninterrupted access to the service
• Data loss may occur, and you should maintain backups of important information

4. User Accounts

To use Prorion, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use of your account
• Be at least 13 years of age (or age of digital consent in your country)

5. User-Generated Content

You retain all rights to content you create on Prorion, including profile information, project descriptions, chat messages, and collaborative documents. By posting content, you grant Prorion a non-exclusive, worldwide, royalty-free license to:

• Display, distribute, and store your content on the platform
• Use your content to operate, improve, and promote our services
• Share your profile and project information with matched collaborators

You represent and warrant that you own or have the necessary rights to all content you post and that your content does not violate any third-party rights or applicable laws.

6. Project Collaboration & IP Ownership

Prorion facilitates connections between collaborators but is not a party to any agreements between project team members. You acknowledge that:

• Intellectual property created within projects belongs to the contributors as agreed between team members
• Prorion does not claim ownership of work product created through the platform
• You should establish clear IP agreements with your team members independently
• Prorion is not responsible for disputes regarding ownership, contribution, or rights to project work

7. Acceptable Use Policy

You agree not to:

• Use the service for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or intimidate other users
• Post content that is defamatory, obscene, offensive, or infringes on others' rights
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the platform or other users' accounts
• Transmit viruses, malware, or any code of a destructive nature
• Scrape, crawl, or use automated systems to access the platform without permission
• Spam other users or abuse the matching/notification system
• Create fake profiles or multiple accounts to manipulate the system

8. Matching Algorithm & No Guarantees

Prorion uses an AI-powered algorithm to match users based on skills, availability, goals, and preferences. However:

• We do not guarantee the quality, compatibility, or success of any match
• We are not responsible for the conduct, reliability, or performance of matched collaborators
• Project success depends on team members' efforts, and we make no guarantees about outcomes
• You are responsible for conducting your own due diligence when working with other users

9. Privacy & Data Usage

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Prorion, you consent to our data practices as described in our Privacy Policy.

Key points include:

• Profile information you provide is used for matching and visible to matched collaborators
• We use third-party services (Ably, Liveblocks, Resend) to provide platform functionality
• We collect usage data to improve our matching algorithm and platform features

10. Third-Party Services

Prorion integrates with third-party services to provide functionality. These services have their own terms and privacy policies:

• Ably (real-time chat and pub/sub messaging)
• Liveblocks (real-time collaboration and presence)
• Resend (email delivery)
• Google and GitHub (authentication)

We are not responsible for the practices or content of these third-party services.

11. Termination & Account Deletion

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any other reason. You may delete your account at any time through your account settings. Upon termination:

• Your access to the service will be immediately revoked
• Your profile will be removed from matching queues
• Some data may be retained as required by law or for legitimate business purposes
• Project data may remain accessible to other team members

12. Limitation of Liability

To the maximum extent permitted by law, Prorion and its operator shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the service
• Conduct or content of other users or third parties on the platform
• Unauthorized access, use, or alteration of your content

Our total liability to you for all claims arising from your use of the service shall not exceed $100 USD.

13. Indemnification

You agree to indemnify and hold harmless Prorion, its operator, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you post or share on the platform

14. Dispute Resolution Between Users

Prorion is not responsible for resolving disputes between users, including project team members. You agree to:

• Attempt to resolve disputes directly with other users
• Not hold Prorion liable for actions or inactions of other users
• Use the reporting feature if you encounter harassment or Terms violations

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of the service after changes constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of France.
